Terms of Service

These Terms govern your use of qrnfctap.com and QR NFC Tap products. By creating an account or using the service, you agree to them.
⚠️ This is a draft. Your solicitor should review before publishing as binding terms.
1. Definitions
- "QR NFC Tap", "we", "us" — QR NFC Tap Ltd, a company registered in England & Wales.
- "Service" — the QR NFC Tap website, dashboard, API, NFC cards, and connected products.
- "You", "Customer" — the person or entity using the Service.
- "Content" — anything you create, upload, or publish via the Service (QR codes, profiles, menu items, customer data, etc.)
- "Subscription" — a paid plan (Pro, Business, Agency, Enterprise) that you have signed up for.
2. Eligibility
To use the Service you must be at least 16 years old (or the age of digital consent in your jurisdiction, see Privacy Policy). For business accounts, the person creating the account warrants they have authority to bind the entity.
3. Your account
- One person, one account. Sharing is prohibited.
- You are responsible for everything that happens under your account.
- Keep your password secret. Use a unique password — we recommend a password manager + multi-factor authentication.
- Tell us immediately at
support@qrnfctap.comif you suspect unauthorised access.
4. Acceptable use
You agree not to use the Service:
- For any unlawful purpose, or to violate any law in any country.
- To create QR codes that link to phishing, malware, illegal content, child sexual-abuse material, IP-infringing material, or sites that deceive scanners as to where the link goes.
- To impersonate any person, company, or government.
- To send spam, abusive content, or unsolicited commercial messages via QR NFC Tap's email/SMS features.
- To probe, scan, or test the vulnerability of any system without our written permission.
- To circumvent any rate limit, access control, or licensing check.
We may suspend or terminate accounts at our discretion for breach. The full Acceptable Use Policy is at /aup and is incorporated into these Terms by reference.
5. Subscriptions, fees, and refunds
5.1 Free plan
The Free plan is free forever, with the limits stated in the pricing page on the date you signed up. We may change Free plan limits with 30 days' notice; existing accounts are grandfathered if the change reduces functionality.
5.2 Paid subscriptions
- Prices are listed at /#pricing in the currency stated.
- Subscriptions auto-renew at the end of each billing period (monthly or annual) unless cancelled.
- You can cancel at any time from the dashboard; cancellation takes effect at the end of the current paid period (no early termination).
- Annual billing receives a discount stated on the pricing page; switching from monthly to annual mid-period is allowed; the reverse is not until the next renewal.
5.3 Refunds
- 14-day full refund: any new paid subscription (first-time customers only).
- Pro-rata refunds for downgrades: not offered. Service runs through the end of the paid period.
- Disputed charges: write to
support@qrnfctap.com. We respond within 5 business days. - Hardware (NFC cards): returnable if unopened, within 14 days of receipt, postage paid by you.
5.4 Tax
Prices exclude VAT, GST, sales tax, and similar. Where we are required to charge tax, it is added at checkout. For VAT-registered EU/UK B2B customers, please supply your VAT number to receive a reverse-charge invoice.
5.5 Failed payments
If a renewal payment fails, we email you and retry over 14 days. After 14 days of failure, the account is downgraded to Free (paid features pause; data preserved).
6. Your content; our content
6.1 Your content
You own everything you upload or create via the Service. You grant QR NFC Tap a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, process, and display your content only as needed to provide the Service (CDN delivery, QR rendering, scan analytics, backups). The licence ends when you delete the content or close your account, except for backup retention as stated in the Privacy Policy.
6.2 Aggregated and anonymised data
We may use aggregated and anonymised statistics about service usage (e.g. "X% of QRs created on QR NFC Tap are vCard Plus") for product improvement, marketing, and benchmarking. Such data does not identify you or any natural person.
6.3 Our content
The QR NFC Tap brand, software, dashboard, marketing copy, designs, and documentation are owned by QR NFC Tap and protected by copyright, trade marks, and other IP rights. You receive a non-exclusive, non-transferable licence to use these for the purpose of using the Service. No reverse-engineering, no white-labelling without our written permission (except via the Agency tier).
7. Third-party content + integrations
The Service may integrate with third-party platforms (Stripe, Apple Wallet, Google Wallet, OpenAI, etc.). Their terms apply to those integrations. We are not responsible for outages, changes, or data practices of third parties — though we will tell you if a sub-processor change materially affects you.
8. Privacy
How we handle your personal data is at /privacy. By using the Service you consent to that Privacy Policy.
9. DMCA / IP takedowns
If you believe content on the Service infringes your IP rights, send a takedown notice to abuse@qrnfctap.com containing:
- Identification of the copyrighted work or trade mark allegedly infringed
- Identification of the URL/QR slug containing the infringement
- Your contact information
- A statement that you have a good-faith belief that the use is unauthorised
- A statement under penalty of perjury that the information is accurate and that you are the owner or authorised to act
- Your physical or electronic signature
We respond to validly-formatted notices within 14 business days, removing or disabling access to the content where appropriate. We have a counter-notice procedure.
10. Termination
10.1 By you
Cancel any time from the dashboard. Your account remains active to the end of the paid period. After cancellation + the 30-day grace period (Privacy Policy section 4), data is deleted except where law requires longer retention.
10.2 By us
We may suspend or terminate immediately for: AUP breach, non-payment after 30 days, fraud, court order, or threat to platform security. Where reasonable, we give you a chance to cure first. On termination for cause, no refund is due.
10.3 Survival
Sections that should reasonably survive termination (IP, indemnity, liability cap, governing law) survive.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law:
- We disclaim all warranties (express, implied, statutory) including merchantability, fitness for a particular purpose, non-infringement.
- We do not warrant uninterrupted or error-free operation.
- We do not warrant that scan-analytics counts are precise; analytics are best-effort and subject to client-side limitations (ad blockers, network failures).
- We do not warrant that any AI-generated content (QR Art, follow-up suggestions) is original, accurate, or free of third-party rights claims.
Statutory consumer rights are not excluded.
12. Limitation of liability
To the maximum extent permitted by law:
- Our total liability to you, in aggregate, for any claim arising out of or related to these Terms or the Service, is capped at the amount you have paid QR NFC Tap in the 12 months preceding the claim (and £0 if you are on the Free plan).
- We are not liable for indirect, consequential, special, or punitive damages, lost profits, lost goodwill, lost data (above and beyond our backup obligations), or business interruption.
- Nothing in these Terms excludes liability that cannot be excluded by law: death/personal injury caused by negligence, fraud, or under UK Consumer Rights Act protections (where you are a UK consumer).
13. Indemnity
You agree to indemnify and hold QR NFC Tap harmless from claims arising from: (a) your content; (b) your use of the Service in violation of these Terms or the AUP; (c) your violation of any law or third-party right. We will tell you promptly of any claim, allow you to control defence (with reasonable cooperation from us), and not settle without your written consent (not unreasonably withheld).
14. Changes to these Terms
We may update these Terms. Material changes notified by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. Non-material changes (typo fixes) are not notified.
15. Force majeure
Neither party is liable for failure to perform due to events outside reasonable control: act of God, war, civil unrest, government action, pandemic, internet/cloud-provider outages beyond our control, etc.
16. Notices
To you: by email to the address on file. To us: by email to legal@qrnfctap.com, plus by post to our registered office for matters requiring formal service.
17. Severability
If any clause is held unenforceable, the rest stands.
18. Entire agreement
These Terms, the Privacy Policy, and the Acceptable Use Policy form the entire agreement. They supersede prior agreements about the same subject matter.

United Kingdom — Terms supplement
Governing law
These Terms are governed by the laws of England & Wales. Any dispute is subject to the exclusive jurisdiction of the courts of England & Wales — except that UK consumers may bring proceedings in their local court under the Consumer Rights Act 2015.
UK consumer rights
If you are a UK consumer:
- The Consumer Rights Act 2015 gives you statutory rights (digital content of satisfactory quality, fit for purpose). These rights are not excluded by these Terms.
- The Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 give you a 14-day right to cancel and obtain a refund for a paid subscription (the "cooling off" period). This is reflected in section 5.3 above.
Distance-selling disclosures
Our trading address is in London, United Kingdom. We are registered at Companies House (number on request to support@qrnfctap.com). We are not currently VAT-registered; if/when we cross the threshold, prices stated will become VAT-inclusive for UK consumers.
